PAYMENT: Payment is strictly due WITHIN 30 Days Nett from date of invoice. If payment is not received within the 30 days Healthmed Supplies (HMS) reserve the right to withdraw credit and any discount given to the customer and where upon an interest charge for late payment will be applied (see credit) until the full payment is credited to HMS bank account. (Statements will be sent on request). Goods/services ordered on None credit accounts will only be despatched/ provided once funds have cleared within HMS bank account. Please note that all transactions will be carried out in Sterling. HMS reserve the right to retain your order until payments have cleared and the delivery address has been confirmed. HMS also reserve the right to cancel any transactions, within reason. Please note payment by card is at the discretion of HMS. American Express payments are not accepted.
ACCOUNT: HMS may only provide the customer with a credit account if an account form has been completed and signed by the customer. The customer will not be placed onto a credit account ordering basis, until the required forms are completed, received and credit checked. All orders received must be provided with a valid, signed purchase order number on a company letterhead, stating quantity, products, description and size.
CREDIT: By arrangement only and then strictly within 30 days from date of invoice. Healthmed Supplies reserves the right to charge interest at a rate of 8% (Late Payment of Commercial Debts (Interest) Act European Directive 2011/7/EU) above the base lending rate. As quoted by NatWest Bank PLC per annum and will be calculated on a daily basis on unpaid invoices from the date due, up to and including the date on which final settlement is made in full. We are also entitled to claim compensation for debt recovery costs from you and shall exercise our statutory right to claim this interest and compensation for debt recovery costs under the late payment legislation if we are not paid according to our agreed credit terms. The below is calculated on a per invoice basis.

£10,000 + - £100
Any payment made after the agreed 30 day payment terms will incur charges and may affect your credit rating, this could also remove any credit you have been given with HMS and all other invoices shall become due and you will be placed onto a None credit account. No third party terms shall apply.
DATA PROTECTION / GDPR: Under Data Protection guidelines HMS will only store customer information on their corresponding email or telephone call requesting a product or service and invoices for HMRC purposes. Invoices and quotes will include; customer name and delivery address. By requesting goods and or services from HMS and providing your details you are doing so by your own free will. The customers email address and telephone number will also be used for sending of quotes, invoices and for delivery purposes for use by our delivery provider. At any time the customer can request for their details to be removed from our system by contacting us on 0151 931 4636 or by emailing email@example.com. Exemptions to this rule are items which are stored for HMRC purposes and will be destroyed once the allocated time has expired.
TITLES: All goods remain under the title of HMS (Healthmed Supplies) until full payment for the goods have cleared our bank. The risk of loss or damage to the products shall pass to the customer at the time of delivery. All goods must be kept or stored in accordance with the manufacturer instructions; this includes any temperature controlled items. There must be no unauthorised use of Healthmed Supplies/ HMS logo or products/ images without formal consent of HMS (Healthmed Supplies).
FORCE MAJEURE: HMS shall not be liable to the customer for any failure or delay in the delivery/ non- delivery of goods caused by any circumstance or event beyond reasonable control. Conditions owing to any act, including, without limitation: natural disasters, weather conditions, flood, explosion, fire, acts of God, loss, theft, accidental damage, shortage of supplies, lock outs, accidents, civil unrest, riots, strikes, industrial action, civil disturbance, war, hostilities, disease or incorrect delivery address being provided. HMS will be entitled to a reasonable extension of time for performing such obligations and shall not be liable for any loss or damage occasioned to the Customer thereby.
PRICES: These are quoted at the date of dispatch and may be subject to market fluctuation. Only HMS at their discretion have the right to offer discounted or special prices. HMS do not accept any liability for incorrect prices given, prices therefore may be subject to change. All prices are subject to VAT at the standard Governing rate.
RETURNS: HMS is under no obligation or liability to accept any goods for return. Goods returned by accepted arrangement only and must be agreed by HMS in email. Any goods authorised for return must be returned via an insured method within 3 working days from receipt of order. HMS accepts no responsibility for returned items lost/ damaged in transit. Goods must be unused and in their original packaging in a re-saleable condition. Any temperature controlled items, once authorised for return must be stored/ handled according to the manufacturer instructions. Goods ordered as a special (specifically ordered for customer) cannot be accepted for return unless faulty. Special order lines once ordered are unable to be cancelled and if we are able to they may be subject to a cancellation admin fee. Items of health and hygiene are exempt from return unless faulty. Goods returned are subject to a 20% handling charge and a cancellation admin fee of 15% of the total goods value will apply. The same charge shall apply for refused delivery and also for customer error. Any items returned without prior authorisation from HMS will be rejected on delivery. If items are receipted after return and are not authorised the customer will still be charged and return/ handling costs will apply. Your statutory rights are not affected.
CLAIMS: Upon receipt of the goods the customer shall inspect them promptly. Claims for goods damaged in transit/ short delivery or discrepancy must be made to HMS within 3 working days of receipt of goods. HMS are not responsible or liable for any damage, deficiency or non-delivery of goods. Upon delivery of your order, the risk inherent in the goods is transferred to you (customer/ purchaser). We will not accept responsibility for misuse/ incorrect use of goods.
DELIVERY (SEE ALSO FORCE MAJEURE): Orders under £100 excluding VAT will incur a small order/ delivery charge of £12.95 + VAT to cover administration, packaging/postage etc. Orders over £100 (excluding VAT) shall be delivered free of charge to mainland UK**.
**Exceptions are bulky items and certain furniture/ equipment and also any deliveries outside mainland UK where an extra carriage cost will be incurred by customer/ purchaser to include Scottish Highlands and Islands**. Deliveries will only be made to ground floor level, due to Couriers terms and conditions. Congestion charges in specific London postcodes may incur a additional charge to cover this. WEEE (EU Directive 2002/96/EC). No WEEE surcharges are shown within the prices given, by its acceptance you agree to make alternative arrangements for disposal under the WEEE Legislation.
ACCEPTANCE OF CONDITIONS: This Contract constitutes the whole agreement between parties and supersedes any prior written or oral agreement between them. The purchaser confirms that they have not entered into this Contract on the basis of any representations that are not expressly incorporated into this Contract. No third party terms and conditions will be accepted by HMS. Unless expressly stated to the contrary by HMS in writing, these conditions shall be deemed to be incorporated in any Contract or order between HMS and any third party and shall be deemed to override any terms or Conditions, which are inconsistent with them which the purchaser may attempt to introduce. The placing of an order shall amount to an acceptance of these conditions. No variation to these Conditions shall be valid or enforceable unless agreed in writing and signed by senior manager/Director on behalf of HMS. Any special Conditions expressed by HMS in any quotation, specification, estimate, Contract, written acknowledgement or letter shall form part of these Conditions and in the event of any conflict or ambiguity such special Conditions shall prevail.
DRUGS OF ABUSE PRODUCTS: HMS will provide the drug screening and laboratory collection kits to the customer as ordered and at the prices specified. HMS shall have no responsibility if the drug screening or collection kit is not used before its expiry date. No drug screening or specimen collection kit may be sold to another third party or submitted to another laboratory for testing without the prior written consent of HMS. Only drug screening tests and collection kits supplied by HMS will be submitted for laboratory confirmation. HMS accepts no responsibility for any adverse outcomes or actions taken as a result of the drug testing process.
ALCOHOL TESTING:HMS will provide the alcohol screening kits to the customer as ordered and at the prices specified. HMS shall have no responsibility if the alcohol testing kit is used outside of its calibration date. It is the customer’s responsibility to decide when a calibration is required and if an accuracy check is needed. No alcohol screening kit may be sold to another third party without the prior permission of HMS.
SAMPLE COLLECTION: The customer shall only nominate authorised collectors to undertake the collection of samples who have been trained by HMS. (Training that is given by HMS representative are for products supplied by HMS only). HMS shall be entitled to assume that all collections submitted by the customer have been made by the authorised collectors and it’s the customer’s responsibility to ensure that every collection device used has not passed its expiry date prior to use. Collection devices must be stored and used in accordance with manufacturers’ instructions in order for any results to be relied upon. HMS will not be responsible for any preliminary screening results provided on samples which have not been collected in accordance with the guidelines and manufacturers’ instructions. HMS will only provide Laboratory results where there is no fundamental breach of the chain of custody process. Where a negative screen result is provided, there can be no guarantee that the donor has not taken a drug. However, at the time that the sample was taken, the drug(s) being tested for were not present at a level above the cut-off levels. Due to the screening service and Laboratory confirmation service utilising different technologies and thereby different cut off levels, a positive screen result will not always produce a positive Laboratory confirmation result. HMS accepts no responsibility for rejected samples; this responsibility lies with the collector.
LIABILITY: The purchaser shall indemnify HMS against all third party costs and expenses, against all claims (including any legal fees) relating to the use of goods or services. HMS shall not be liable to the customer/purchaser for any loss of contracts, income, earnings, profits or cover. HMS will also not accept any responsibility for any other consequential or indirect loss of any kind arising out of or in connection with these terms and conditions, however caused and whether arising under contract, tort, negligence or otherwise. This exclusion shall apply even if HMS has been advised of the possibility of such damage. These terms and conditions shall be governed by English law and the parties agree to the exclusive jurisdiction of the English courts.
NO RESPONSIBILITY IS ACCEPTED FOR ERRORS OR OMISSIONS IN THIS DOCUMENT OR OTHERS INCLUDING BUT NOT LIMITED TO; INVOICES, QUOTES, HOUSKEEPING, DISPATCH NOTE, WEBSITE INFORMATION OR EMAILS. ANY ERRORS MAY BE CORRECTED WITHOUT LIABILITY.
